Terms of Service

1. Eligibility

You must be at least 13 years of age (or 16 in the EEA) to use the Services. By creating an account, you represent and warrant that:

• You are of legal age to form a binding contract in your jurisdiction.
• Your use of the Services does not violate any applicable law or regulation.
• You are not a person barred from using the Services under the laws of the United States or other applicable jurisdiction.

2. Account Registration

To access most features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password confidential and not share it with third parties.
• Notify us immediately at support@urbanpx.com if you suspect unauthorized access.
• Accept responsibility for all activities that occur under your account.

We reserve the right to refuse service, terminate accounts, or remove content at our discretion.

3. Description of Services

UrbanPX, LLC provides the following applications as part of the Almighty ecosystem:

• Almighty Budget — Personal budgeting, expense tracking, financial goal-setting, and optional bank account synchronization via Plaid.
• Almighty Split — Group expense tracking, bill splitting, and settlement management.

We reserve the right to modify, suspend, or discontinue any feature or the Services as a whole, at any time, with reasonable notice where practicable.

4. Subscriptions and Billing

4b. Free Trial

We may offer a free trial period for paid plans. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

4c. Payment and Renewal

Subscriptions are managed through the Apple App Store (iOS) or Google Play Store (Android). By subscribing:

• Payment will be charged to your App Store or Play Store account at confirmation of purchase.
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period.
• You can manage and cancel subscriptions in your App Store / Play Store account settings.

4d. Refunds

All purchases are final and non-refundable except as required by applicable law or as provided by Apple/Google's refund policies. To request a refund, contact Apple Support or Google Play Support directly.

4e. Price Changes

We reserve the right to change subscription prices. Price changes will be communicated via email and in-app notice at least 30 days in advance.

5. Plaid Integration

Almighty Budget integrates with Plaid Technologies, Inc. to enable bank account connectivity. By using this feature:

• You agree to Plaid's End User Privacy Policy.
• You authorize Plaid to access your financial institution data on your behalf.
• We receive read-only access to transaction history and account balances — we cannot initiate payments or transfers.
• You may revoke Plaid access at any time via Settings → Connected Accounts.

We are not responsible for errors, outages, or data inaccuracies originating from Plaid or your financial institution.

6. Financial Disclaimer

Transaction data synced from your bank may contain errors or omissions. You are solely responsible for verifying the accuracy of your financial data and for your financial decisions.

7. User Content

You retain ownership of all content you submit to the Services ("User Content"), including budget entries, expense notes, and group data. By submitting User Content, you grant UrbanPX, LLC a limited, non-exclusive, royalty-free license to use, store, and process that content solely for the purpose of providing the Services.

You represent and warrant that your User Content:

• Does not violate any third-party rights, including intellectual property rights.
• Is accurate and not misleading.
• Does not contain malicious code, spam, or unauthorized data.

8. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law or regulation.
• Impersonate any person or entity.
• Engage in fraud, money laundering, or any illegal financial activity.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Scrape, harvest, or collect data from the Services without authorization.
• Interfere with or disrupt the integrity or performance of the Services.
• Transmit viruses, malware, or other harmful code.
• Use automated bots or scripts to access the Services.

Violation of this section may result in immediate account termination and potential legal action.

9. Intellectual Property

The Services, including all software, designs, trademarks, logos, and content created by UrbanPX, LLC, are owned by or licensed to UrbanPX, LLC and are protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent. The "Almighty" name and related marks are trademarks of UrbanPX, LLC.

Your feedback, suggestions, or ideas submitted to us may be used without obligation or compensation to you.

10. Third-Party Services

Our Services may contain links to third-party websites. We are not responsible for their content or practices.

11. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully.

12. Account Deletion

You may delete your account at any time via Settings → Account → Delete Account. Upon deletion:

• Your account data will be scheduled for deletion within 30 days.
• Plaid connections will be revoked.
• Active subscriptions must be cancelled separately through your App Store / Play Store account to stop future billing.
• Some data may be retained for legal compliance as described in our Privacy Policy.

Deletion is permanent and irreversible. We recommend exporting your data before deleting your account.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, URBANPX, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, data, goodwill, or business opportunities.
• Damages resulting from financial decisions made based on data provided by the Services.
• Unauthorized access to or alteration of your data.
• Any bugs, errors, or inaccuracies in the Services.

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

14. Indemnification

You agree to defend, indemnify, and hold harmless UrbanPX, LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or relating to:

• Your use of the Services.
• Your User Content.
• Your violation of these Terms.
• Your violation of any third-party rights.

15. Dispute Resolution

Informal Resolution

Before filing a formal legal claim, you agree to contact us at support@urbanpx.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by JAMS (or a mutually agreed arbitration provider) under its applicable rules, except that either party may seek injunctive relief in court for intellectual property violations.

Class Action Waiver

You waive any right to participate in a class action lawsuit or class-wide arbitration against UrbanPX, LLC.

Exceptions

Claims for injunctive relief, small claims court matters, and intellectual property infringement claims are exempt from the arbitration requirement.

16. Termination

We may suspend or terminate your account at any time, with or without cause, with reasonable notice. Grounds for termination include:

• Violation of these Terms or our policies.
• Fraudulent, illegal, or abusive activity.
• Non-payment of applicable fees.
• Discontinuation of the Services.

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including Sections 9, 13, 14, 15, and 18) shall survive.

17. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notice at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Services.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Subject to Section 15, any legal action shall be brought in the state or federal courts located in Delaware.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, End User License Agreement, and Cookie Policy, constitute the entire agreement between you and UrbanPX, LLC regarding the Services and supersede all prior agreements and understandings.
